For AST
Limitations of Liability
AST provides services using reasonable skill and care; however, we exclude any express or implied warranties regarding the availability, quality, accuracy, completeness, or fitness of the services for any specific purpose.
AST, its employees, and agents disclaim all liability for any direct, indirect, or consequential losses, including but not limited to lost profits, business interruption, and third-party claims, resulting from service usage or delays.
This limitation of liability does not exclude liability for death or personal injury resulting from AST’s negligence where required by law.
Billing and Payment Terms
Clients agree to timely payments of all agreed-upon fees without deduction, delay, or discount. Non-payment of fees may result in project suspension, interest charges, and, if necessary, legal action to recover overdue amounts.
Any rework or enhancement requested by the client post-approval will be treated as additional work, and fees will be applied accordingly.
Project Scope and Change Management
The contract’s scope will specify deliverables, timelines, and costs. Any features, enhancements, or changes outside of the defined scope will be subject to a Change Management process and additional billing. The client will be notified of any costs prior to implementation.
Project timelines may be adjusted due to unforeseen factors, including but not limited to delays in client communication, dependencies on third-party providers, and technical complexities. AST will notify clients of any such delays as soon as possible.
Client Responsibilities and Content Ownership
All content, including but not limited to text, multimedia, images, and data, must be provided solely by the client, who retains full responsibility for the accuracy, copyright permissions, and timely provision of all materials. AST shall not be held liable for any content-related discrepancies or copyright infringements caused by client-supplied materials.
The client must ensure they possess the proper rights to any third-party content provided to AST. The client agrees to indemnify AST against any claims arising from unauthorized use of such materials.
AST reserves ownership of any proprietary materials created by AST for the client unless otherwise explicitly agreed upon in a separate written contract.
Data Backups and Liability
Clients are responsible for maintaining their own backups of any pre-existing data and materials. AST will not be liable for any loss or damage to the client’s data due to issues arising during or after our services, including accidental deletion, file corruption, or other unforeseen issues.
Should the client or a third party alter the project after deployment, AST will not be responsible for resolving any resulting issues, and a separate fee may be charged to restore or fix affected areas.
Third-Party Services and Products
AST may integrate third-party tools, plugins, and services into client projects. AST does not guarantee the performance or reliability of these third-party services and cannot be held responsible for their failure, update requirements, or costs associated with changes in their functionality.
Upgrades or additional functionalities required by third-party products or services are outside the initial project scope and may incur additional fees.
Approvals and Feedback
AST will provide periodic opportunities for the client to review progress and provide feedback. If the client does not provide feedback within seven (7) days of AST’s request, the content will be considered approved, and AST will proceed based on the latest agreed specifications.
Upon completion of each project stage, client approval and payment for that stage will be required before proceeding to subsequent stages.
Support and Maintenance
AST provides one month of complimentary support for bug fixes and technical inquiries post-launch. Additional support and maintenance will be billed based on the client’s selected package or an agreed-upon hourly rate.
Support covers only bug fixes and excludes architectural changes, rule amendments, and additional feature requests unless agreed upon in a support contract.
Ownership and Usage Rights
Upon project completion and full payment, AST will transfer ownership of the completed project code to the client. AST retains the right to use completed projects and elements thereof for promotional purposes unless the client explicitly requests otherwise in writing.
Any reusable components or libraries developed by AST remain AST’s intellectual property and are licensed to the client for the specific project only.
Cancellations and Fees
Should the client cancel the service prior to completion, AST reserves the right to charge a cancellation fee proportionate to the work completed up to the point of cancellation.
Any unpaid fees for work completed or cancellations will result in legal action, if necessary.
Severability
If any provision of these Terms & Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. Invalid provisions will be replaced with valid, enforceable terms that best reflect the original intent of both parties
Governing Law and Dispute Resolution
These Terms & Conditions shall be governed by and construed in accordance with the laws of the UAE. Any disputes arising from this agreement shall be resolved through arbitration or mediation within the jurisdiction of UAE courts.
